This agreement applies between Leeds Planning Alerts, operated by Zuber Ali, trading as a sole trader in England, referred to as "we", "us", and any builder, contractor, or tradesperson who receives leads, introductions, or letters from us, referred to as "you".
By receiving leads from us, agreeing to terms via WhatsApp, email, text, or by continuing to accept leads after being made aware of these terms, you agree to be bound by this agreement.
We identify publicly available planning applications and homeowner enquiries and pass relevant details to you as potential leads. We may also introduce homeowners to you directly following a letter or enquiry we have handled.
We are not your employee, agent, or representative, and we do not negotiate, quote, or contract on your behalf in any way.
A qualifying introduction is any homeowner, address, or project whose contact details or planning application information you received from us, whether by message, letter response, phone call, or any other method, within the previous 12 months.
If you are unsure whether a specific job originated from an introduction we provided, you must ask us before assuming it does not.
You agree to pay us a commission of 1.5% of the total value of any job you are instructed to carry out, where that job resulted from a qualifying introduction.
Commission is calculated on the total price charged to the homeowner for the job, excluding VAT.
Commission becomes due once you have been instructed to proceed by the homeowner, whether by a signed quote, a deposit being paid, or work commencing, whichever happens first.
You agree to notify us within 14 days of being instructed to proceed with any job resulting from a qualifying introduction. This notification should include the address, an estimate of the job value, and expected timing.
You agree not to deliberately avoid, delay, or omit notifying us of a qualifying introduction that has resulted in work.
Commission is due within 14 days of you receiving payment from the homeowner, or within 14 days of us requesting payment following your notification under clause 4, whichever is later.
Late payments may be subject to statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
We may reasonably ask you to confirm whether a specific address or homeowner became a paying job, and request a general estimate of value for the purpose of calculating commission. You agree to respond honestly and within a reasonable time.
You agree not to avoid paying commission by claiming a job did not originate from an introduction we provided when it did, or by carrying out the work under a different company name or arrangement in order to avoid disclosure.
We do not guarantee any minimum number, quality, or value of leads. We may provide leads to other builders at the same time. This agreement does not create any exclusive arrangement in either direction.
We may stop sending you leads, or end this arrangement, at any time and without notice, including if we reasonably believe you have breached this agreement, failed to disclose a qualifying job, or acted in bad faith.
To the maximum extent permitted by law, our total liability to you arising from this agreement is limited to £100. This does not affect liability that cannot be excluded or limited by law.
Nothing in this agreement creates an employment relationship, partnership, joint venture, or formal agency relationship between us. You remain solely responsible for your own business, insurance, qualifications, and conduct.
This agreement is governed by the law of England and Wales. Disputes will be dealt with in the courts of England and Wales. For low value disputes, either party may use the small claims track of the County Court.
We may update this agreement from time to time. Continuing to accept leads after being notified of an update means you accept the updated terms.
